If i put a K&N filter on my 300ex and take the lid off will i need to do any rejetting? everything else is stock

Prolly need to fatten it up a bit (i.e. go a little richer than your current settings). I'm just guessing, but I'd bet one or two sizes on your main would do it.

Yup, adding the filter and removing the lid actually adds quite a bit of airflow, even with the stock exhaust.

I'd bump the main up to a 125-128 Keihin.
